Legal Provisions

1. Confidentiality: The affiliate agrees to maintain in strict confidence all proprietary information received from Dynacyte Biosciences, including but not limited to, business processes, customer lists, pricing details, and product information. The affiliate agrees to refrain from using this information for any purpose outside of the obligations defined in this agreement.

2. Non-Compete: The affiliate agrees not to engage in, directly or indirectly, any similar business or enterprise competing with Dynacyte Biosciences during the term of the agreement and for a period of one year after the termination of this agreement.

3. Trademark and Copyright: All marketing materials provided by Dynacyte Biosciences, including but not limited to, logos, images, and content, are protected by trademark, copyright, and other intellectual property laws. The affiliate agrees to respect all such rights and to use the materials strictly within the framework defined by Dynacyte Biosciences.

4. Indemnification: The affiliate agrees to indemnify and hold harmless Dynacyte Biosciences, its officers, directors, employees, and agents from any and all claims, liabilities, damages, and expenses (including attorneys' fees) arising from the affiliate's activities.

5. Termination: Dynacyte Biosciences reserves the right to terminate this agreement at any time, with or without cause. Upon termination, the affiliate must cease all promotion activities related to Dynacyte Biosciences and its products and discontinue the use of any and all proprietary information or marketing materials provided by Dynacyte Biosciences.

6. Governing Law: This agreement will be governed by and construed in accordance with the laws of the jurisdiction in which Dynacyte Biosciences is based.

This agreement represents the entire understanding between the affiliate and Dynacyte Biosciences and supersedes all other verbal or written agreements, understandings, or representations.
